Questions

What counts as a new deal?
A business whose returns Probity has not read before. Re-running a deal never counts, whether after a price change, a new offer or a corrected return. Past your monthly limit, the next new deal opens when your plan renews, or right away on Deal Desk. Nothing you have run goes away.
Will it work on the business I'm looking at?
If the business files a federal business return, yes. There are four, and the form number is printed in the top left corner of the form. Form 1120-S, Form 1120 or Form 1065: corporations and partnerships, including LLCs with more than one owner. Schedule C: a sole proprietor or a one-owner LLC, where the business is a schedule inside the owner's personal Form 1040. An LLC that chose to be taxed as a corporation files Form 1120-S or Form 1120, whatever its number of owners. For a Schedule C, send only the Schedule C pages, not the rest of the personal return. A personal Form 1040 with no Schedule C, a state return, or a return from outside the United States: no. If you don't know which form the seller files, ask for the first page before you start.
Can I cancel and come back?
Yes. Deal Check, Deal Desk and Firm are month to month. Recasts you ran stay on screen after you cancel.
What does Cash Proof need from me?
The seller's bank statements. Cash Proof compares the bank statements with the tax return on the deal, so the deal needs a return Probity can read: Form 1120-S, 1120, 1065 or Schedule C. Cash Proof covers money that went through the bank. Cash that was never deposited does not appear in it, so anything the seller claims above the bank's figure is the seller's word.
What happens to Cash Proof if my deal dies?
It moves to your next deal, as many times as you need within 12 months, one live deal at a time. What you ran on the dead deal stays, read only. The fee is never refunded and never depends on whether you close.
Is Cash Proof a quality of earnings report?
No, and it is not an audit or an opinion of value either. It ties the bank statements to the returns and shows the statement page behind every figure. It can show a gap but not explain one, because it does not read the general ledger. Run it to decide whether a quality of earnings report is worth paying for. Which deals need one, and what it covers.
Do you tell me what the business is worth?
No. Probity builds the numbers from the returns and shows the bridge to the broker's number. What it is worth is your call, your lender's and your adviser's.
Where do the seller's tax returns go, and who can see them?
Your uploads sit in Supabase database and object storage in the United States, visible only inside your own account and to anyone you invite onto that deal, scoped to what you give them. They stay until you delete the document, the deal, or your account, subject to limited billing and legal-hold retention and to backup copies that age out in the ordinary course. When you run an analysis, only the document that request needs goes to Anthropic's commercial API, under terms where Anthropic does not train its models on it by default. The full statement is in the Privacy Policy.
Is there a plan for a firm with several people?
Yes. Firm is Deal Desk plus $40 a seat each month from the third seat. Three seats is $89.99 a month. 35 new deals each month on three seats, and 15 more for every added seat, shared by the whole firm. Pick the seat count at checkout, up to 50, and add seats any time from Settings. A colleague takes a seat from your invite once they have a Probity account of their own. For more than 50 seats, write to hello@useprobity.com.

* Screening reads what the alert email itself contains. Listing sites' terms limit what can be pulled from their pages, so a figure the email leaves out shows as not disclosed.

Probity does not offer valuation opinions on any plan, and nobody at Probity looks at your deal. We build the numbers; the decision is yours.
