Probity Invited User Terms

These terms apply to you if a Probity account holder (the "buyer") has invited you into their deal, either as a seller or broker asked to upload documents, or as an adviser (attorney, CPA, lender, loan broker, or similar) given viewer or reviewer access. You accept these terms when you first open the buyer's invitation link or sign in to the deal. These terms are shorter than, and supplement, the full Probity Terms of Service and Privacy Policy, which also apply to your use.

If you were invited to upload (seller or broker)

  • You are not a Probity account holder. You are using a limited, no-account upload page that the buyer generated and sent you from their own email address. Probity did not send you this link.
  • What you can see. Only the buyer's request-list items relevant to the stage the buyer has opened to you, and the status of what you have already uploaded. You cannot see the buyer's notes, journal, analyses, flags, or anything uploaded by any other invitee.
  • What happens to what you upload. Your files are stored under the buyer's deal, scanned before they become visible to the buyer, and matched against the request-list item you selected. They are the buyer's data from that point on; export or deletion is the buyer's decision, not yours. If you want a copy of what you uploaded, keep your own copy before you send it.
  • Identity check. We confirm your email with a one-time code before your first upload, so that a forwarded link cannot be used by someone else without your knowledge.
  • Link expiry. Your upload link expires (the buyer sets the period; 30 days is the default) and can be revoked by the buyer at any time, including automatically if the deal is closed or killed.
  • No advice, no marketing. Probity does not advise you, does not represent your interests, and does not vouch for the buyer or the deal. The upload page carries no marketing beyond identifying the buyer you are uploading for.

If you were invited as an adviser (attorney, CPA, lender, or similar)

  • You do have an account, created when you accept the buyer's invitation and sign in by magic link. Your access is scoped by the buyer to specific categories of the deal (for example, legal documents only, or financial documents only) and to a role: Viewer (read-only within your scope) or Reviewer (also able to mark items reviewed, comment, ask questions, and upload on the buyer's behalf, within your scope).
  • What you cannot see by default. The buyer's private deal journal, flags, and buyer-adjustment notes, unless the buyer specifically opens them to you.
  • Your access ends at deal close or kill, on a date the buyer sets, or immediately if the buyer revokes it. If you are invited into more than one buyer's deal, each invitation is separate; you never see one buyer's deal from inside another's.
  • Audit trail. Your views, downloads, comments, and uploads are logged and visible to the buyer, including on any document you download, which may carry a visible watermark with your email and the download timestamp.
  • These terms do not create a client relationship with Probity. You remain engaged by, and owe your professional obligations to, the buyer (or whoever engaged you), not to Probity.

Data handling

Any personal information you view or upload through Probity is handled as described in the Probity Privacy Policy. If you upload personal information about yourself (an adviser's own contact details) or about a third party (an employee list, if you are the seller), the same "documents about other people" rules in the Privacy Policy apply: the buyer is responsible for the lawfulness of collecting and sharing that information with you and with Probity.

Limitation of liability

Your use of Probity through an invitation is subject to the same disclaimers and limitation of liability that apply to the buyer under the Terms of Service, sections 9 and 10: Probity's analyses are informational, not professional advice, and Probity's liability to you, if any, is subject to the same cap described there.
